User Agreement

1. Preliminary Provisions

These Terms govern the relationship between the User and FlavorVault. FlavorVault provides Technology Certificates, encrypted Vaults and related software services. The Services are software services only and do not constitute banking, payment, investment, e-money, legal, or financial services. By acquiring a Technology Certificate and accessing the Services, you agree to these Terms.

2. Interpretation

Capitalised terms have the meanings set out in Schedule 1.

3. Technology Certificates

Technology Certificates are digital identifiers issued by FlavorVault for access to the Services. They have no intrinsic monetary value, are not securities, cryptocurrencies or e-money, and do not confer ownership rights in FlavorVault. Certificates may not be transferred except where expressly permitted.

4. The Platform and Vaults

FlavorVault provides encrypted Vaults and access to a curated recipe library through its Platform. Users may store and organise recipes and related content in their Vault. Users are solely responsible for content they upload.

5. Recipe & Content Disclaimer

Recipes and culinary content are provided for general informational purposes only and do not constitute professional dietary, nutritional, medical or allergen advice. Always check ingredients against your own dietary needs and allergies before cooking or serving.

6. Security

Access to Vaults is controlled through Technology Certificates, authentication credentials and security controls. FlavorVault employs commercially reasonable security measures but cannot guarantee absolute security.

7. User Representations and Warranties

You represent that information provided is accurate, that you have authority to upload any content submitted to the Platform, and that your use complies with applicable law.

8. Prohibited Jurisdictions

Users subject to sanctions or prohibited jurisdictions may not use the Services.

9. Intellectual Property

The Platform, software, branding and Services remain the property of FlavorVault and its licensors. Users may not reverse engineer, copy or reproduce the Services.

10. User Content and Data Ownership

Users retain ownership of uploaded content. Users grant FlavorVault a limited licence to process such content solely to provide the Services.

11. Indemnity

Users shall indemnify FlavorVault against claims arising from breach of these Terms or misuse of the Services.

12. Liability

FlavorVault shall not be liable except in cases of fraud, wilful misconduct or gross negligence, and shall not be liable for indirect or consequential loss. Any software provided hereunder is provided 'as is'. There is no guarantee of fitness for a particular purpose.

13. Communications

FlavorVault may rely upon communications reasonably believed to originate from the User.

14. Record Keeping

FlavorVault may retain records and communications in accordance with its policies and legal obligations.

15. Data Protection

Personal data shall be processed in accordance with the Privacy Policy.

16. Amendments

FlavorVault may amend these Terms by providing reasonable notice.

17. Termination

FlavorVault may suspend or terminate access for breach, legal risk, misuse, or other legitimate reasons.

18. Fees

Fees are payable in accordance with the selected token pack or invoice.

19. General Provisions

Includes waiver, severability, entire agreement and assignment provisions.

20. Governing Law and Jurisdiction

These Terms shall be governed by applicable law, and disputes shall be subject to the competent courts.

Schedule 1 - Definitions

• Technology Certificate - digital certificate granting access rights to the Services.
• Vault - encrypted digital workspace associated with a User.
• Recipe Library - the curated collection of recipes and culinary content made available through the Platform.
• Platform - the technology infrastructure operated by FlavorVault.
• Services - Technology Certificates, Vaults and related software services.
• User - any person or entity accessing the Services.
